1. Purpose

These Terms of Use (the “Terms”) are intended to regulate the conditions for accessing and using the VERSIO platform (the “Platform”), owned by VERSIO TECNOLOGIA LTDA., a private legal entity registered under CNPJ No. 59.990.681/0001-25, with its head office at Rua Dr. Renato Paes de Barros, No. 618, Suite 01, Itaim Bibi, São Paulo/SP, ZIP code 04530-000, herein represented in accordance with its constitutive documents, hereinafter referred to as “VERSIO”.

The Platform is a digital solution based on artificial intelligence, aimed at the B2C audience, through which Users may directly contract services, with the option to pay by credit card and other methods integrated via third-party payment providers.

By accessing or using the Platform, the User declares that they have read, understood and accepted, in a free, informed and unequivocal manner, all the provisions contained in these Terms and in VERSIO's Privacy Policy.

The Privacy Policy details VERSIO's practices regarding the collection, storage, use, processing and protection of User data, in compliance with applicable legislation. It is essential that the User be aware that continued access to and use of the Platform implies full acceptance of such terms.

This act of acceptance expresses the User's full consent to the conditions governing their interaction with the Platform and the processing of their data.

It is recommended that the User periodically review this document, as updates and modifications may be implemented to reflect changes in legislation, in VERSIO's operations, or in the Platform's functionalities.

2. References

The provisions contained in these Terms have been drafted based on rules and legislation applicable to the operation of the Platform, including, but not limited to:

  • Brazilian Consumer Defense Code (Law No. 8.078/1990);
  • Brazilian General Data Protection Law (LGPD – Law No. 13.709/2018);
  • Brazilian Internet Civil Framework (Law No. 12.965/2014); and
  • VERSIO's Privacy Policy.

3. Definitions

For the purposes of these Terms, the following definitions apply:

a) Platform: Digital system developed and maintained by VERSIO, which uses artificial intelligence to provide services to Users.

b) Consumer (B2C): A natural person who uses, accesses, registers on, or interacts with the Platform, accepting the terms set forth herein.

c) User: Any natural person who accesses, uses, registers on or interacts with the Platform, including by completing registrations, queries, purchases or any other type of operation provided for in these Terms, accepting all of its conditions.

4. Registration and Eligibility

When registering on the Platform, the User undertakes to provide personal information that must be truthful, up-to-date and complete. The User shall be solely responsible, both civilly and criminally, for the truthfulness of the information provided at the time of registration. Any inconsistency or falsehood may result in serious legal consequences.

By accepting these Terms, the User declares, in accordance with the law, that they have full legal capacity to enter into contracts and assume the responsibilities arising from the use of the Platform, in accordance with current Brazilian legislation. If the User is a minor or legally incapable, use of the Platform is strictly prohibited. VERSIO reserves the right to request proof of age and legal capacity, as well as to suspend or terminate access to the Platform for users who do not meet this requirement. Responsibility for any improper use by minors or legally incapable persons rests with their parents or legal representatives.

Finally, the User is responsible for maintaining the confidentiality of their access credentials and may not share them with third parties. Since the use of the account is personal and non-transferable, the User shall be fully liable for any acts performed using their credentials, including by third parties who may use them.

5. Disclaimer of Warranties (“AS IS” Clause)

The Service is granted to the User under license and provided strictly on an “AS IS” basis, without any implied or express warranties not specified in this document. This means that the use of the Platform and its features is entirely at the User's own risk, who accepts the current conditions of functionality and availability.

Although VERSIO diligently employs the best market practices regarding the security, stability and operation of the Platform, VERSIO cannot offer any absolute guarantee that the provision of services will be uninterrupted, free from technical failures, interruptions, suspensions or errors of any nature. The complex nature of software systems and the dependence on third-party infrastructure and the internet imply an inherent possibility of unavailability or malfunction, which shall not, in themselves, constitute a violation of these Terms or grounds for compensation.

VERSIO uses artificial intelligence technologies to generate content on the Platform. However, it is essential that the User understands and accepts that VERSIO does not offer any guarantee, express or implied, as to the accuracy, completeness, exhaustiveness, timeliness or suitability for specific or particular situations of content generated or processed by artificial intelligence. The User must exercise their own judgment and responsibility when using and validating such content, and must not consider it as professional advice or an indisputable fact.

6. Payment Services

The VERSIO Platform offers Users the convenience of acquiring services through electronic payments. Various options are made available, such as credit cards and other digital payment methods, and all processing of these financial transactions is carried out exclusively by third-party tools (the “Payment Providers”), which are integrated with the Platform.

By making any payment on the Platform, the User expressly authorizes VERSIO and its Payment Providers to collect, process, store and use all data necessary for the complete and secure conclusion of the transaction. This authorization includes, but is not limited to, User identification data, payment information (such as card number, expiration date and security code, encrypted in accordance with security standards), transaction data (amount, date, time, description) and, where applicable, address information for billing and delivery purposes.

Additionally, the User agrees to and authorizes VERSIO and the Payment Providers to perform automatic debits or charges, in accordance with the payment conditions stipulated upon contracting the Platform. In cases where the Platform acts as a payment intermediary between Users and third parties, the corresponding amounts may be transferred within up to 60 (sixty) days after the reference month in which the transaction was carried out. The User declares that they are aware of and expressly agree to said financial processing period.

7. Use of the Platform

The User undertakes to use the Platform in an ethical, lawful manner and in compliance with current legislation, as well as with the provisions of these Terms and other VERSIO policies, refraining from any practice that may cause direct or indirect harm to VERSIO, third parties or the Platform itself.

Ethical use of the Platform presupposes good faith and respect for the rights and privacy of other users, as well as for the integrity of the system. The User must therefore avoid conduct that may be interpreted as harassment, discrimination, defamation or any form of abuse.

With regard to lawful use, the User agrees not to violate any applicable laws or regulations, whether federal, state or municipal, including, but not limited to, intellectual property, data protection, privacy and cybersecurity laws.

Additionally, the User undertakes not to engage in any activities that may compromise the security or operation of the Platform, such as the introduction of viruses, malware, worms or any other code, attempts to gain unauthorized access to VERSIO's systems or data or those of other users, or the practice of denial-of-service attacks.

Failure to comply with these obligations may result in the suspension or termination of the User's account, without prejudice to the application of other legal measures applicable by VERSIO, including the pursuit of indemnification for any damages caused.

8. Subscriptions

VERSIO's product is contracted exclusively on an annual basis, and under no circumstances are monthly plans or plans of any other periodicity made available or sold. Use of the Platform may take place by contracting individual plans per User.

Currently, VERSIO offers the following plans:

Free access with limited features.

Essential Plan

BRL 29.90 per user.

Professional Plan

BRL 59.90 per user.

Premium Plan

BRL 89.90 per user.

Each plan has specific features and limits described on the Platform.

Prices may be changed by VERSIO upon prior notice to the User, applying only to future renewals.

8.1 Adjustments and Promotions

VERSIO may adjust the values of the annual subscription, upon prior notice to the User, applicable only to subsequent renewal cycles.

Any discounts, promotional conditions or commercial campaigns may be established for a specified period and shall not be cumulative with each other; the most advantageous condition for the User at the time of contracting shall always prevail.

9. Right of Withdrawal and Cancellation of the Annual Subscription

Right of Withdrawal: The User has the inalienable right of withdrawal and may exercise it within up to 30 (thirty) calendar days from the date of acceptance of VERSIO's Terms. This legal period, in compliance with current consumer protection rules, ensures that the User has the opportunity to reconsider their contracting decision.

Exercising the right of withdrawal within the stipulated period entitles the User to a full refund of the amounts paid. The refund will be made through the same payment method used in the original transaction, without the User incurring any additional charges or fees for this withdrawal.

Automatic Renewal of the Annual Subscription: The VERSIO Annual Subscription is set up for automatic renewal, occurring in equal and successive periods (annually). This system is intended for the User's convenience, ensuring uninterrupted continuity of access to the services. However, this renewal is not mandatory and may be interrupted.

Both the User and VERSIO have the prerogative to oppose automatic renewal, preventing a new subscription cycle from being activated.

Cancellation Request: The effective cancellation will result in the interruption of automatic renewal, ensuring that no charges will be made for the cycle subsequent to the end of the period already paid for.

Maintenance of the Service and Absence of Reversal or Pro Rata Temporis Refund: It is essential that the User acknowledges that the VERSIO subscription is contracted on an annual basis. Due to this characteristic, if cancellation is requested before the end of the fully contracted annual period, the User shall not be entitled to a reversal, refund or pro rata temporis cancellation of the amounts corresponding to that period.

Despite the cancellation request, access to the VERSIO Service will be maintained in full and uninterruptedly until the last day of the annual period for which payment has already been made or is being processed. This means that the User will be able to enjoy all subscription benefits until the end of the cycle for which they paid.

Nature of Retention of Amounts Paid: The full retention of the amount paid, in cases of early cancellation, does not constitute a termination penalty or an abusive non-refund clause. This retention corresponds to fair consideration for the availability of the service provided by VERSIO throughout the entire contracted period. The amount paid guarantees unrestricted access to the service for the entire agreed annual period, regardless of the User's cancellation date.

10. Privacy and Data Protection

In order to provide online Services to its customers, VERSIO adopts advanced resources aimed at protecting the personal information of users and their Services. Personal information of users — meaning all information related to an identified or identifiable natural person, including sensitive personal information (regarding racial or ethnic origin, religious belief, political opinion, affiliation with a union or with an organization of a religious, philosophical or political nature, data regarding health or sexual life, genetic or biometric data when linked to a natural person) — is not disclosed by VERSIO, except in the cases expressly mentioned in this Policy.

The processing of User data shall be carried out in compliance with the Company's Privacy Policy, available on VERSIO's website, which is incorporated into these Terms for all legal purposes, as well as with Law No. 13.709/2018 (Brazilian General Data Protection Law – LGPD) and other applicable rules.

By using the Platform, the User acknowledges and agrees that their data may be collected, processed, stored and shared in the terms described in VERSIO's Privacy Policy, including to enable the operation of the Platform, the processing of payments and the offering of new services.

In case of any divergence between these Terms and the Privacy Policy regarding the processing of personal data, VERSIO's Privacy Policy shall prevail.

VERSIO reserves the right to access, retain or share any information when, in good faith, it considers such sharing reasonably necessary to investigate, prevent or take action regarding possible illegal activities, comply with legal process, respond to potential threats to the physical integrity of any person, violations of the Privacy Policy or user terms, or to protect the rights, property and security of VERSIO, its employees, users or the public. This may include sharing information with authorities, government agencies, courts and/or other organizations.

11. General Provisions

These Terms constitute the most up-to-date and current version of the rules applicable to access and use of the VERSIO platform. At any time, VERSIO may amend, supplement or revise the content of these Terms, in accordance with institutional purposes, operational needs, or to ensure adequacy and compliance with applicable legislation. It is the User's responsibility to regularly consult the most up-to-date version made available on VERSIO's website in order to remain informed of any changes.

In case of doubts, questions or requests related to these Terms, the User may contact VERSIO directly through the customer service channels made available.

These Terms, as well as any relationships or actions arising from their content, shall be governed by Brazilian law. To resolve any disputes or litigation related to these Terms, the venue of the District of São Paulo, State of São Paulo, is hereby elected, with express waiver of any other, however privileged it may be.
